Corporate Real Estate Attorney
Roch Capital, a privately held capital management firm headquartered in Glen Mills, PA is seeking to fill the role of Real Estate General Counsel.
This position reports in office five days a week.
Summary:
The Real Estate General Counsel will work directly with partners and clients in sophisticated commercial real estate transactions involving the sale, acquisition, financing, development and leasing of hospitality, office buildings, and other commercial real estate. Duties include reviewing, preparing, and managing transaction documentation, reviewing and advising on operational matters, reviewing, managing, and responding to diligence requests, and coordinating closings.
Essential Functions:
- Review, prepare, and manage transaction documentation,
- Review and advise on operational matters
- Review, manage, and respond to diligence requests, and coordinating closings.
- Analyze current and proposed business initiatives to ensure that Company management is adequately informed about the legal risks and/or opportunities associated with those initiatives.
- Protect and promote the interests of the Company by negotiating, drafting, reviewing, and/or approving business agreements that facilitate Company's business objectives.
- Review and approve marketing copy and disclosures.
- Coordinate with operational departments to resolve legal issues that arise and provide advice and comment on operational policies and procedures as needed.
- Coordinate and oversee retention of critical real estate, compliance, litigation, and other legal related documents.
- Coordinate with outside counsel when issues to be resolved require expert knowledge.
- Conduct legal research and provide analysis of laws and regulations that affect the Company.
- Manage litigation matters for real estate and affiliate business matters.
- Prepare/Oversee production of litigation summary/ analysis reports for executive management and board of directors.
- Review and recommend payment of invoices from outside counsel.
Education & Work Experience:
- Bachelor's degree (B.A.) from an accredited four-year college or university with a Juris Doctorate degree in Law.
- 5+ years of experience as an attorney in commercial real estate
Certifications & Licenses:
- Bar Admission, licensed to practice in Pennsylvania.
